Actually, it reads that the most recent discussions are with a party after expiry of the 10year period to which "the code" applies. It certainly doesn't say there were 2 offers prior to that time and it merely cofims that any current discussions, negotiations and transaction will not be bound by "the code".

It means the new talks are no longer subject to the Takeover Code so the rules on reporting it are less stringent. Seems to confirm there are talks going on though, which is interesting.

The board are confirming that there has been a recent offer and that they have no legal obligation of disclosure anymore and will therefore say nothing until they have accepted or rejected the bid'.
