I think the statement means that a takeover is imminent, but they are not ready to announce it. Why would they make this statement otherwise?
From what I've been told by someone on Facebook who seems to understand these things, the "Code" is the Code of Practice governing the sale of companies, but it doesn't apply to us any more, because our shareholding is over 10 years old

As I understand it we have just passed the tenth anniversary of when we were listed on the stock exchange. in the first ten years after you are listed any take over has to confirm to certain City regulations. We have just moved out of that period so the board are basically free to sell to whoever, however they want. This they now seem to be doing as they are now in discussions with a seperate party. How far on these talks are, who the party is or what it means for the club, we are not told.
